Commercial Loan Underwriting and Closing Checklists
The following underwriting and closing checklists are provided as resources. They are not
meant to be all-inclusive, as documentation requirements and considerations may vary
with the type of property and uniqueness of a deal.
Underwriting Checklist
1. Purchase agreement
2. Operating statement, including previous 12-month period
3. Three years of operating statements, if applicable
4. Current property rent roll
5. Resumes of all of the borrowers
6. Copies of all leases
7. If retail, historic sales figures for tenants paying percentage rent
8. Occupancy summary for previous three years
9. Most recent appraisal
10. Most recent environmental report
11. Two years of financial statements
12. Photographs of property
13. Maps showing location
14. Existing insurance policies
15. Copies of paid tax bills
16. Property management company resume
17. Standard form of lease for the property
18. Copy of ground lease, if applicable
19. Evidence of zoning compliance
20. Evidence of service by necessary utilities
21. Borrowers’ organization and authority documents
Closing Checklist
1. Title insurance and current survey acceptable to the lender
2. Uniform Commercial Code (UCC)/litigation/tax lien search acceptable to the
lender
3. Evidence of proper zoning and permitting acceptable to the lender
4. Fire and hazard, rent loss or business interruption, liability, and such other
hazard insurance coverage (including flood, if applicable) as lender may require
5. Unpaid taxes and assessments due at time of closing
6. Opinion of borrower’s counsel acceptable to lender in form and content,
addressing, without limitation, matters
relating to the borrower’s status as a special-purpose entity, the due execution,
validity, and enforceability of the loan
documents and the valid existence of the borrower
7. Engineering report in form satisfactory to the lender, showing that all
improvements are in good and workable
condition and comply with all applicable regulations (including Americans With
Disabilities Act) or, if not, an estimate
of the cost and description of any deferred maintenance and repairs
8. Income and expense statements in form satisfactory to the lender showing a
minimum debt-service coverage ratio as
required by loan underwriting
9. Credit report satisfactory to lender
10. Appraisal in form acceptable to lender, showing sufficient value to satisfy the
loan-to-value indicated in the loan
commitment
11. Phase I environmental report acceptable to lender showing that there is no
toxic substance or hazardous waste
contained within the premises
12. Inspection of the property and approval thereof by lender
13. Tenant estoppels and lease subordinations acceptable to the lender from
all tenants
14. Recognition agreement and/or lease amendment acceptable to lender with
any ground lessor respecting the rights of
the lender as leasehold mortgagee
15. Certificate of completion, if applicable
16. Certificate of occupancy
17. All permits, licenses, certifications, and approvals establishing lawful
construction, occupancy, and operation of the property
18. All existing leases and assignment of leases to lender
